2. About Zentic Agency

Zentic Agency ("we," "us," "our") is a full-service digital marketing agency providing services including but not limited to social media management, paid advertising, SEO, content creation, branding, website development, email marketing, and other digital growth services.

3. Services

3.1 Scope of Work

All services are outlined in a separate Service Agreement, Proposal, or Scope of Work document signed by both parties. Services not listed in the agreed scope are not included and may be quoted separately.

3.2 Revisions

Each project includes a set number of revisions as specified in your agreement. Additional revisions beyond this limit will be billed at our standard hourly rate.

3.3 Timelines

We commit to delivering work within agreed timeframes. However, delays caused by the client (e.g., late content delivery, approvals, feedback) will not be the responsibility of Zentic Agency.

3.4 Third-Party Platforms

Services involving platforms such as Meta, Google, TikTok, or others are subject to those platforms' own policies. Zentic Agency is not liable for ad disapprovals, account restrictions, algorithm changes, or policy violations caused by the client's content or industry.

4. Client Responsibilities

The client agrees to:

• Provide all required materials (logos, copy, images, credentials, access) in a timely manner.
• Ensure all content provided is owned by or legally licensed to the client.
• Review and approve deliverables within the agreed review period.
• Provide accurate business and billing information.
• Comply with all applicable laws, including advertising regulations relevant to their industry.

5. Payments

• 5.1 Payment Schedule: Payment terms are defined in the signed agreement. Monthly retainers are billed in advance. Project-based work may require a 50% deposit before work begins.
• 5.2 Late Payments: Invoices not paid within 7 days of the due date may incur a late fee of 1.5% per month on the outstanding balance. Work may be paused on accounts with overdue invoices.
• 5.3 Disputed Invoices: Any dispute regarding an invoice must be raised in writing within 5 business days of the invoice date. Failure to dispute within this period constitutes acceptance of the invoice.
• 5.4 Ad Spend: All paid advertising budgets (Google Ads, Meta Ads, etc.) are separate from our management fees unless explicitly stated otherwise. The client is responsible for all ad spend directly.

6. Intellectual Property

6.1 Client Assets: The client retains ownership of all materials, logos, content, and assets provided to Zentic Agency.

6.2 Work Product: Upon full payment, ownership of final deliverables (designs, copy, content) transfers to the client. Zentic Agency retains the right to use completed work in its portfolio unless requested otherwise in writing.

6.3 Agency Tools & Processes: All proprietary tools, methodologies, templates, and strategies developed by Zentic Agency remain the intellectual property of Zentic Agency.

7. Confidentiality

Both parties agree to keep each other's confidential information private and not to disclose it to third parties without prior written consent. This includes business strategies, financial data, client lists, and proprietary processes.

8. Limitation of Liability

Zentic Agency shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services. Our total liability in any matter shall not exceed the total amount paid by the client for the services giving rise to the claim in the preceding 30 days.

We do not guarantee specific results such as a set number of leads, followers, rankings, or sales. Digital marketing results are influenced by many external factors beyond our control.

9. Termination

9.1 By Client: The client may terminate services by providing 30 days' written notice. Fees for work already completed or in progress will not be refunded.

9.2 By Zentic Agency: We reserve the right to terminate a client relationship immediately if the client engages in abusive behaviour toward our team, provides illegal or unethical content, or fails to pay invoices after reasonable notice.

9.3 Upon Termination: All outstanding invoices become immediately due upon termination. Final deliverables will be released upon full payment.

10. Governing Law & 11. Changes to These Terms

10. Governing Law: These Terms are governed by the laws of the applicable jurisdiction where Zentic Agency is registered. Any disputes shall be resolved through mutual negotiation first, followed by binding arbitration if needed.

11. Changes: We reserve the right to update these Terms at any time. Continued use of our services following any changes constitutes your acceptance of the updated Terms.
